Terms of Service (v1.0)

These Terms of Service (“Terms”) govern the provision of China Manufacturing Reality Check™ (“CMRC”) services by Verve East (“we,” “us,” “our”) to the client (“you,” “your”).

By submitting an application, making payment, or participating in a CMRC session, you agree to be bound by these Terms.

1. Scope of Service

CMRC is an independent, structured advisory service designed to assess manufacturing-related risks, assumptions, and decision factors.

Our services include:

  • Supplier and quotation review
  • Risk identification and analysis
  • Cultural and communication interpretation
  • Documentation of findings

CMRC does not include sourcing, negotiation, procurement, production management, or execution services.

2. Independence and Non-Agency

Verve East operates as an independent judgment provider.

We:

  • Do not introduce suppliers
  • Do not recommend factories
  • Do not negotiate pricing
  • Do not receive commissions
  • Do not represent any supplier
  • Do not participate in transactions

Nothing in this engagement creates an agency, partnership, or fiduciary relationship between Verve East and the client.

3. Advisory Nature of Service

CMRC provides advisory opinions and risk assessments.

All findings are:

  • Informational in nature
  • Based on available information
  • Subject to uncertainty

Final business, technical, and financial decisions remain solely the responsibility of the client.

Verve East does not make decisions on behalf of clients.

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and truthful information
  • Disclose material facts relevant to the review
  • Respond to reasonable information requests

Verve East is not responsible for outcomes resulting from incomplete, misleading, or inaccurate client-provided information.

5. No Guarantee of Outcomes

Manufacturing involves inherent risks.

Verve East does not guarantee:

  • Commercial success
  • Product performance
  • Supplier behavior
  • Production quality
  • Delivery timelines
  • Regulatory approval

Our services aim to reduce risk, not eliminate it.

6. Limitation of Liability

To the maximum extent permitted by law:

Verve East shall not be liable for:

  • Indirect or consequential losses
  • Lost profits
  • Business interruption
  • Reputational damage
  • Third-party actions

Our total liability arising from any CMRC engagement shall not exceed the fees paid for the relevant service.

7. Fees and Refund Policy

CMRC services are provided on a paid basis.

Fees are disclosed prior to payment.

Unless otherwise agreed in writing:

  • Fees are non-refundable after session confirmation
  • Missed sessions without prior notice are non-refundable
  • Rescheduling is subject to availability

8. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business information
  • Technical materials
  • Commercial data
  • Review findings

Verve East may use anonymized and aggregated data for internal research and system improvement.

No identifying information will be disclosed without consent.

9. Intellectual Property

All materials, frameworks, reports, and documentation provided by Verve East remain our intellectual property.

Clients are granted a limited, non-transferable license for internal use only.

Reproduction, redistribution, or commercial use without written permission is prohibited.

10. Data Protection and Privacy

We collect and process personal data solely for service delivery purposes.

Data is handled in accordance with our Privacy Policy.

We do not sell or share client data with third parties for marketing purposes.

11. Termination

Verve East reserves the right to decline, suspend, or terminate services if:

  • Provided information is materially false
  • Engagement objectives conflict with our independence
  • Ethical or legal concerns arise
  • Abuse or misconduct occurs

In such cases, refund policies will be determined at our discretion.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of China.

Any disputes shall be subject to the exclusive jurisdiction of courts located in China.

13. Amendments

We may update these Terms from time to time.

The latest version will be published on our website.

Continued use of services constitutes acceptance of updated Terms.
